[Civil Appeal Diary No(s). 12044/2020 dated May 17, 2024] addressed a significant issue regarding the taxation of revenue sharing agreements between exhibitors and distributors concerning the exhibition of films. This article explores the details of the case, the arguments presented, and the final decision rendered by the Supreme Court.</p><p><strong>Introduction</strong></p><p>In the realm of film exhibition, revenue sharing agreements play a crucial role in determining financial arrangements between exhibitors (theaters) and distributors (those holding film rights). This case delves into whether such agreements constitute &#8216;Business Support Services&#8217; under the Finance Act, 1994, thereby making them subject to service tax.</p><p><strong>Facts of the Case</strong></p><p><strong>Background of AB Motions Pvt. Ltd. and the Revenue&#8217;s Contention</strong></p><p>AB Motions Pvt. Ltd., the respondent in this case, entered into revenue sharing agreements with multiple distributors and sub-distributors for the exhibition of films at their multiplexes. The Revenue argued that AB Motions Pvt. Ltd. was providing &#8216;Business Support Services&#8217; as defined under Section 65(105)(zzzq) of the Finance Act, 1994. This contention arose from the exhibition of movies in their multiplexes, which the Revenue viewed as a taxable service.</p><p>The Revenue further alleged that AB Motions Pvt. Ltd. had not disclosed the revenue earned through these services in their statutory returns nor paid the corresponding service tax. Consequently, an order demanding service tax, along with interest and penalties, was issued against AB Motions Pvt. Ltd. by the Revenue.</p><p><strong>CESTAT&#8217;s Ruling and its Implications</strong></p><p>Upon appeal, the Customs, Excise and Service Tax Appellate Tribunal (CESTAT) examined the nature of the relationship between AB Motions Pvt. Ltd. and the distributors. CESTAT found that both parties had agreed to collaborate, where AB Motions Pvt. Ltd. as the theater owner exhibited films provided by distributors while retaining the film copyrights.</p><p>All revenues generated were duly recorded in AB Motions Pvt. Ltd.&#8217;s books of accounts. Additionally, payments made to distributors for film rights and other expenses were also meticulously documented. CESTAT, drawing on the precedent set by the PVS Multiplex India Pvt Ltd. v. CCE &amp; ST, Meerut-I case, concluded that there was no taxable service provided by AB Motions Pvt. Ltd. to distributors or sub-distributors.</p><p><strong>Decision on the Demand for Service Tax</strong></p><p>Based on the findings and legal principles established in previous cases, CESTAT set aside the original order demanding service tax from AB Motions Pvt. The Court referenced a similar matter, Commissioner of Service Tax v. Inox Leisure Ltd. [C.A. No. 1335 of 2022 dated February 28, 2022], where the service tax demand on revenue sharing agreements was also contested and subsequently rejected.</p><p>The Supreme Court emphasized that the collaboration between exhibitors and distributors, through revenue sharing agreements, does not constitute &#8216;Business Support Services&#8217; under the Finance Act, 1994. Therefore, such arrangements are not subject to service tax.</p><p><strong>Conclusion on Tax Implications</strong></p><p>The verdict provided clarity and precedent on the taxation of revenue sharing agreements in the film exhibition industry. It affirmed that these agreements do not involve the provision of taxable services, thereby relieving exhibitors like AB Motions Pvt. Ltd. from service tax liabilities.</p>								</div>

According to IATA, foreign airlines should not be held liable for GST on such services.</p><p>The Directorate General of GST Intelligence has initiated investigations and issued summons to foreign airlines, alleging tax evasion concerning the import of services by airlines operating in India.</p><p>IATA, representing 330 carriers worldwide, firmly opposes this governmental action, asserting that costs incurred by airline headquarters should not be subject to GST. These costs encompass various operational aspects, including aircraft rental expenses, crew, and pilot costs associated with passengers departing from India.</p><p>IATA argues that airline branch offices in India do not partake in critical operational functions such as leasing aircraft, hiring crew and pilots, procuring fuel, and maintenance. Instead, all decisions and operations concerning flights to and from India are made, managed, and executed by airline headquarters. Therefore, attributing strategic and operational risks and functions to branch offices in India is legally inaccurate, as stated by IATA.</p></div></div></div></div>								</div>

										<span class="elementor-icon-list-text">During the Impugned Period (December 2022, February 2023, March 2023, and May 2023), the Petitioner paid IGST totaling significant amounts i.e. Rs. 1,63,16,851/-, Rs. 50,46,889/-, Rs. 17,26,288/-, and Rs. 13,85,382/-, respectively.</span>

										<span class="elementor-icon-list-text">Circular No. 125/44/2019-GST dated November 18, 2019, clarifies that interest accrues from the date immediately after the expiry of sixty days from the date of the refund application until the amount is credited to the applicant's bank account.</span>

										<span class="elementor-icon-list-text">Instances arise where customers fail to lift the agreed quantities of edible oils within stipulated delivery dates, leading to breach or non-performance of contractual obligations.</span>

										<span class="elementor-icon-list-text">In response to such breaches, the Applicant collects compensation amounts, termed "Liquidated Damages or Trade Settlement," from defaulting customers.</span>

										<span class="elementor-icon-list-text">It was opined that the compensation amounts paid by customers to the Applicant for non-performance or breach of contract constitute consideration for tolerating an act or situation under an agreement.</span>

										<span class="elementor-icon-list-text">Consequently, such compensation amounts were deemed to constitute a supply of service and were subject to CGST at 9% and SGST at 9% each under Chapter Heading No. 9997 at Serial No. 35 of Notification No. 11/2017-Central Tax (Rate) dated June 28, 2017.</span>

Instances have emerged where multiple employees from the same company used identical PANs for tax claims. Tax authorities are pursuing these employees to recover the misappropriated tax amounts.</p><p><strong>Legal implications and preventive measures</strong></p><p>While legal action against the offenders remains uncertain, tax experts warn of potential penalties and prosecution for such fraudulent activities. To prevent such misuse, financial transactions, particularly rent payments, should be traceable and transparent, preferably through electronic means. Employers are advised to implement stringent verification processes to prevent fraudulent claims and to ensure compliance with tax regulations.</p><p><strong>Expert insights and employer responsibilities</strong></p><p>According to tax advisors, the responsibility primarily rests with the employee, although employers are urged to exercise due diligence in verifying HRA claims.
